Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of NexusYard (“NexusYard,” “we,” “us,” or “our”), an operations platform for materials yards. By accessing or using NexusYard, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. License to use the service

Subject to these Terms, we grant authorized users of your organization a limited, non-exclusive, non-transferable, revocable right to access and use NexusYard for your internal business operations.

2. Accounts and responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must provide accurate information and keep it current.
  • You are responsible for the accuracy of the operational and accounting data you enter or sync.

3. QuickBooks Online integration

NexusYard integrates with Intuit QuickBooks Online. When you connect a QuickBooks company, you authorize NexusYard to access and exchange accounting data with that company on your behalf, as described in our Privacy Policy. Intuit is an independent third party; your use of QuickBooks remains subject to Intuit’s own terms and privacy policy. You are responsible for ensuring you have the right to connect the QuickBooks company you authorize. You may disconnect the integration at any time.

4. Acceptable use

You agree not to:

  • Use the service in violation of any applicable law or third-party rights.
  • Attempt to gain unauthorized access to the service, other accounts, or connected systems.
  • Interfere with or disrupt the integrity or performance of the service.
  • Reverse engineer, resell, or sublicense the service except as permitted by law.

5. Intellectual property

The service, including its software, design, and content (excluding your data), is owned by us or our licensors and is protected by intellectual-property laws. You retain all rights to the data you provide; you grant us the rights necessary to operate the service and provide its features to you.

6. Data and privacy

Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms.

7. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. NexusYard is a workflow and record-keeping tool and does not provide accounting, tax, or legal advice; you are responsible for verifying records, including those synced to or from QuickBooks.

8. Limitation of liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to your use of the service.

9. Termination

We may suspend or terminate access to the service if you breach these Terms or to protect the service. You may stop using the service at any time. Provisions that by their nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
